1. Parties and acceptance
SSGI One is provided by Strategic Sequoia Group Inc. doing business as SSGI Benefits (SSGI). SSGI One is a product, not a separate legal entity. These terms govern the platform access and services made available to an authorized user or organization.
You agree to these terms when they are presented with an affirmative acceptance action and you take that action. If accepting for an organization, you must have authority to bind it. An invitation, job title, uploaded file or page visit alone does not establish acceptance. Employee use does not make an employee personally responsible for the employer's commercial charges or indemnities.
A separately accepted service agreement controls an expressly identified conflict within its scope. Carrier terms, insurance policies, plan documents, required individual authorizations and nonwaivable law continue to apply. The Privacy Policy describes information handling. Acknowledging that policy is not consent to every possible use of information.
2. Services and authority
SSGI Benefits is an independent insurance and benefits agency, not an insurer. SSGI One supports benefits and ICHRA administration, service workflows and related records. The services SSGI undertakes, responsible parties, fees and deadlines are those agreed for the engagement. The platform does not make SSGI the employer, carrier, tax adviser or plan fiduciary merely by use; actual responsibilities imposed by law or the agreed work are not disclaimed.
Only enabled and authorized functions may be used. A description of payroll, carrier, payment, funding or reporting workflows does not promise that a particular provider connection or processing service is available. Preparing a file is not operating payroll, moving money or filing a return. This agreement does not itself authorize payroll deductions, a bank debit, custody of funds or tax filing.
An estimate, saved election, transmission, acknowledgment or dashboard status does not alone confirm effective insurance, carrier acceptance, a completed payment or accepted filing. Confirm outcomes through the applicable carrier, plan or service process and promptly report discrepancies.
3. Accounts and roles
Use only your assigned account and permissions. Protect credentials, supply accurate information and promptly report suspected compromise or loss of authority. Do not share account access or use another person's identity. Sign-in alone does not grant authority over an employer or employee record.
Employers must identify authorized administrators and promptly notify SSGI of access changes. Employer administrators may access the organization's roster and enrollment information needed for administration. Their role does not permit access to employees' individual help requests or private assistant conversations. Agency staff use assigned access for service; employees use the access provided for their own information. No role permits access to unrelated organizations or people.
4. Instructions, data quality and deadlines
Provide complete, timely and accurate census, household, eligibility, contribution and deduction information within your authority. Obtain required notices and permissions before submitting another person's information. An employer cannot waive a worker's rights simply by accepting these terms.
Review elections, amounts, effective dates, provider responses and reconciliation results. Identify relevant deadlines and promptly tell SSGI about errors, missing responses or changed instructions. Employers retain employment, payroll, contribution and funding responsibilities except to the extent expressly undertaken by SSGI or another authorized provider.
SSGI may rely on authorized instructions unless applicable law or the agreed services require further verification. SSGI may reject incomplete, conflicting or unauthorized instructions and request clarification. Additional charges require an applicable agreed fee arrangement; these terms do not create undisclosed fees.
5. Connections and third parties
Authorized services may exchange information through APIs, files, data feeds or other methods with carriers, plans, benefits administrators, payroll providers, payment or funding providers, reporting providers and technology services. An employer must approve the organizational scope. Obtain separate employee, household, carrier, deduction, payment or filing authorization where required.
The selected organization, recipient, data categories, purpose and permitted actions define a connection's scope. A connection added later must meet the same requirements before use. These terms do not authorize unrelated purposes or all future integrations indiscriminately. Applicable third-party terms must be provided and accepted where necessary.
Provider changes, outages or revoked permissions may require a manual process or revised instructions. SSGI does not guarantee any specific connection, provider availability, processing time or successful outcome. This does not excuse SSGI's own agreed monitoring, submission or follow-up obligations.
6. AI assistance
Assistants prepare information, drafts, reminders and routine service work. Some routine responses and fixed-template messages may be automatic. Personalized benefits advice must be given or reviewed by a licensed professional. An automatic message is not a coverage decision or confirmation that a requested transaction occurred.
Public Ask SSGI and the telephone AI receptionist provide immediate automated general answers without prior human review. They are separate from signed-in workflows. Do not supply sensitive information through those public interactions. Their limits and information handling are explained in the Privacy Policy.
7. Information permissions and confidentiality
You retain the rights you hold in submitted information. Within your authority, applicable law, the Privacy Policy and the service arrangement, you permit SSGI to receive, store, organize, reproduce, process and transmit the information to perform authorized work, maintain required records and carry out permitted operational analytics. SSGI may use service providers for those purposes within the authorized scope. This is not permission for unrelated provider use or unrestricted model training.
Submitting information does not transfer every ownership or privacy right to SSGI. Do not submit information you are not authorized to provide. Do not enter Social Security numbers, financial-account information or credentials in general messages, notes or unrequested uploads.
Each party must use the other's confidential business information only for the agreed purposes and permitted uses, limit access to authorized people or service providers who need it, and protect it with reasonable care. Exceptions apply to information lawfully public, already lawfully held without restriction, independently developed or lawfully received without a confidentiality obligation. A legally required disclosure must remain limited to what is required, with notice where lawful and practicable. Personal information remains subject to its separate legal protections.
8. SSGI technology and aggregate outputs
SSGI and its licensors retain their rights in software, brands, designs, methods, workflows and original work products. Subject to the applicable agreement, SSGI grants an authorized user limited, nonexclusive, nontransferable access to the enabled platform for the authorized benefits relationship. No source-code license, resale, sublicensing or white-label right is granted by these terms. Licensing to another agency requires a separate accepted agreement and deployment review.
Where applicable law, permissions and agreements permit, SSGI may use information for product analytics and create genuinely de-identified, aggregated outputs for research, benchmarking, development and commercial reports. A qualifying output must not reasonably identify a person, household or customer or disclose customer confidential information. Removing names or substituting identifiers is not enough. Before commercial release, permitted inputs and re-identification risk must be assessed; the output must remain de-identified and recipients must be prohibited from attempting re-identification.
SSGI owns its original intellectual property in those methods and qualifying reports, excluding underlying rights it does not own. SSGI may license qualifying outputs without revenue sharing unless a signed agreement provides otherwise. This does not authorize selling identifiable personal information, overriding website-measurement or SMS commitments, or unrestricted reuse of records retained for another purpose. Qualifying lawfully created outputs and original intellectual property may survive termination, subject to continuing legal and confidentiality restrictions.
Feedback may be used to improve services without payment, but this permission does not include private customer records or confidential information embedded in feedback.
9. Acceptable use
Do not bypass permissions, interfere with operations, introduce malicious code, obtain unrelated records, impersonate others, use the service unlawfully or commercially redistribute it without a separate license. Do not reverse engineer restricted components except where applicable law permits that activity despite a contractual restriction. Promptly report a suspected security issue without exploiting it or collecting other users' information.
10. Charges and commercial risk allocation
Customer charges, brokerage compensation disclosures, renewal terms and payment arrangements must be established in the applicable accepted arrangement. These terms do not create an automatic renewal, new fee or authority to debit an account. A subscription or service invoice does not replace an insurance premium obligation.
Commercial indemnities and monetary caps apply only through a separately accepted business agreement that states their scope. They are not imposed on employees or dependents through their employer's use. These platform terms do not contain an automatic monetary liability cap, arbitration, class waiver or shortened claim deadline.
11. Availability and limits
General automated information and software access are provided as available, subject to express service commitments. SSGI does not guarantee uninterrupted operation, error-free content, savings, eligibility, coverage, claim payment, a tax outcome or an independent provider's performance. Plan and carrier documents govern insurance rights.
No disclaimer removes SSGI's express obligations, professional duties or nonwaivable privacy, security, insurance or other legal responsibilities. Fraud, willful misconduct, gross negligence and liability that cannot lawfully be excluded are not waived. Responsibility for losses depends on applicable law, facts and enforceable agreements.
12. Suspension, termination and records
SSGI may reasonably restrict, suspend or end access or a connection to address unauthorized use, security risk, expired authority, provider restrictions, material breach or nonpayment under an applicable agreement. Urgent protective action may precede notice where delay would increase risk or violate a requirement. Otherwise, applicable notice and cure provisions control. SSGI may require verification or correction before restoring access.
Ending access does not automatically cancel insurance, reverse a completed instruction, end a separate agreement or delete records. Coordinate unfinished enrollment, deductions, funding and reporting work and any permissible transfer of records through the service process. Transition charges require an agreed basis and cannot override nonwaivable record-access rights.
SSGI may retain relevant records for authorized service, required recordkeeping, accounting, authorization evidence, fraud prevention and legal-rights purposes subject to law, privacy notices and controlling agreements. A legal hold may require continued retention. These terms do not guarantee perpetual access, permanent storage or automatic deletion. Retaining a record does not create permission for a new unrelated use.
13. Disputes and changes
Raise service or access concerns through SSGI One or access help. Privacy and contract questions can be sent to hello@ssgibenefits.com; technical connection concerns to apisupport@ssgibenefits.com. Do not send sensitive records or credentials in an initial general message.
Attempting informal resolution is encouraged but does not bar a regulator complaint, urgent relief or a timely claim. These terms do not impose an exclusive forum or override mandatory law. A separately accepted organizational agreement may select governing law and a lawful forum for its business disputes.
Material revisions requiring agreement must be presented for acceptance; silent posting or an account invitation is not acceptance. Accepted versions and changes apply prospectively except where law requires otherwise. A purchase order or unilateral instruction does not amend an agreement. If a provision is unenforceable, the rest continues only to the extent lawful and consistent with its purpose. A business transfer must preserve applicable contractual obligations and information restrictions. Provisions concerning lawful retained records, confidentiality, original intellectual property and qualifying outputs survive only as their purpose and applicable law permit.
